Terms of Service

1. Introduction

These Terms of Use (hereinafter referred to as "Terms") govern your access to and use of the EduMixAI application (the "App") and all related services, including our AI-powered educational platform, OCR technology, video generation tools, and adaptive learning systems (collectively, the "Services"). The Services are owned and operated by EduMixAI LIMITED LIABILITY COMPANY (hereinafter referred to as "EduMixAI", "Company", "we", "us", or "our").

These Terms apply to all users of the Services ("user(s)", "you", "your"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. These Terms supersede all prior notices or agreements concerning the Services.

2. Use of the Services

You agree to use the App and our Services only for lawful educational purposes that are permitted by these Terms and any applicable laws, regulations, or generally accepted practices in the relevant jurisdictions. Subject to your compliance with these Terms, the Company grants you a limited, terminable, non-transferable, personal, and non-exclusive license to access and use the App and our Services.

You may not distribute, modify, broadcast, publicly perform, transmit, reuse, repost, or otherwise use any contents of the App, including educational materials, AI-generated content, or software, for commercial purposes without the Company's prior written permission.

3. Eligible Users

The Services are designed for students, teachers, and educational institutions. If you are under 18, you may use the Services only with the involvement and consent of a parent or guardian. By agreeing to these Terms, you represent and warrant that you have the legal capacity to enter into a binding contract or have obtained proper parental consent.

Educational institutions using our Services must ensure compliance with applicable student privacy laws, including but not limited to FERPA (Family Educational Rights and Privacy Act) and local data protection regulations.

4. Description of Services

EduMixAI provides an AI-powered educational platform designed to enhance learning experiences through advanced technology. Key features include:

• Optical Character Recognition (OCR) technology to digitize and analyze educational materials and handwritten content.
• AI-powered video generation for creating personalized educational explanations and tutorials.
• Adaptive learning algorithms that adjust content difficulty based on individual student progress and performance.
• Knowledge graph integration for comprehensive subject mapping and interconnected learning paths.
• Computer vision capabilities for analyzing visual educational content and providing contextual assistance.
• Natural Language Processing for intelligent tutoring and automated assessment.

The specific features and functionalities available to you will depend on your selected subscription plan (Students, Teachers, or Schools).

5. Registration and Account

To use the Services, you must register and create an account (the "Account"). You agree to provide accurate, current, and complete information during the registration process. You are solely responsible for safeguarding your account credentials and for all activities that occur under your Account. You must notify us immediately of any unauthorized use of your Account.

For educational institution accounts, designated administrators are responsible for managing user access and ensuring compliance with institutional policies and applicable privacy laws.

6. Suspension and Termination

The Company may limit, suspend, or terminate your access to the Services if we determine, in our sole discretion, that you have violated these Terms, engaged in academic dishonesty facilitated by our platform, or otherwise pose a risk to the integrity of our educational services or other users. We reserve the right to change, suspend, or cancel all or any part of the Services at any time, with reasonable notice to educational institutions.

7. Intellectual Property

The Services and their entire contents, features, and functionality (including but not limited to all AI algorithms, educational content, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

User-generated content and educational materials uploaded to the platform remain the property of the respective users or institutions, subject to our limited license to provide the Services.

8. User Conduct

You agree not to engage in any activity that interferes with or disrupts the Services (or the servers and networks which are connected to the Services). This includes, but is not limited to, attempting to reverse-engineer our AI algorithms, introducing malware, or using the service to facilitate academic dishonesty or plagiarism. You must use our Services in accordance with your institution's academic integrity policies.

Users are prohibited from sharing account credentials, attempting to access other users' private educational data, or using the platform to distribute inappropriate or harmful content.

9. Disclaimer and Limitation of Liability

You agree that your use of the Services shall be at your sole risk. To the maximum extent permitted by applicable law, the Company disclaims any and all guarantees, warranties and representations, whether express or implied, in connection with the Services and your use thereof.

While our AI-powered educational tools are designed to assist learning, we do not guarantee the accuracy of all AI-generated content or assessments. Users should verify important information and consult with qualified educators when necessary.

To the maximum extent permitted by applicable law, the Company, its affiliates, and their respective officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of educational progress, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services.

10. Tax

You are responsible for any and all tax liability arising from or associated with your use of the Services, including any taxes associated with your subscription fees. All fees for the Services are exclusive of any applicable taxes. Educational institutions may be eligible for tax exemptions based on their local tax laws.

11. Privacy

We process your personal data and educational information in accordance with our Privacy Policy and applicable educational privacy laws. You acknowledge that you have read our Privacy Policy and understand that it sets forth how we collect, use, and share your information. Educational institutions are responsible for ensuring they have the necessary consents and comply with applicable student privacy regulations.

We implement appropriate technical and organizational measures to protect student educational records and personal information in accordance with industry standards and legal requirements.

12. Notification of Changes

The Company may revise these Terms from time to time. We will provide notice of any material changes by posting the new Terms on our website, sending you an email, or providing notice through the Services. Your continued use of the Services after the changes have been implemented constitutes your acceptance of the changes. If you do not agree to the changes, you must stop using the Services.

13. Dispute Settlement

The laws of Vietnam shall govern these Terms and any claims or disputes arising out of or relating to them. If either party chooses to initiate legal proceedings, both parties consent to the exclusive jurisdiction of the courts of Vietnam. For educational institutions, we encourage resolution of disputes through direct communication and mediation before pursuing legal action.

14. Miscellaneous

These Terms, together with the Privacy Policy and any other legal notices published by us on the Services, shall constitute the entire agreement between you and the Company concerning the Services. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.

Educational institutions may enter into separate agreements with additional terms specific to their institutional needs and compliance requirements.
